Terms of Use

The agreement governing your use of homeapedia's website and quote-matching services.

1. Acceptance of Terms

These Terms of Use ("Terms") form a binding agreement between you and homeapedia ("homeapedia," "we," "us," or "our") and govern your access to and use of homeapedia.com and any related landing pages, tools, and services we provide (collectively, the "Services"). By accessing or using the Services, including by submitting a ZIP code or quote request, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. The Services

homeapedia is a home-services marketing platform. We help consumers submit project details and, based on the information you provide, match you with independent third-party contractors and service providers ("Partner Pros") who may contact you with quotes. We are not a contractor, broker, or home-improvement professional. We do not perform any home-improvement work and we do not guarantee that any particular Partner Pro will contact you, provide a quote, complete a project, or achieve any particular outcome or savings.

3. Eligibility

You must be at least 18 years old and a resident of the United States to use the Services. By using the Services, you represent that you meet these requirements and have the legal capacity to enter into these Terms.

4. Accuracy of Information

You agree to provide true, accurate, current, and complete information when you use the Services, including a valid ZIP code, name, email, and phone number that belong to you or for which you have authority to submit. You are solely responsible for the accuracy of the information you submit, and you agree not to impersonate any person or provide false contact details.

5. Partner Pros Are Independent

Partner Pros are independent businesses that are not employed by, controlled by, or otherwise affiliated with homeapedia beyond participating in our referral network. homeapedia does not:

• Employ, supervise, or direct the work of any Partner Pro;
• Guarantee the accuracy of any quote, the quality of any work performed, or the licensing, insurance, or background of any Partner Pro;
• Recommend, endorse, or warrant any particular Partner Pro or the services they offer.

Any contract or transaction you enter into with a Partner Pro is solely between you and that Partner Pro. You are responsible for conducting your own diligence — including verifying license, insurance, references, and contract terms — before hiring any Partner Pro. homeapedia is not a party to any agreement between you and a Partner Pro and has no responsibility or liability for any acts, omissions, or representations of any Partner Pro.

You agree not to use the Services to:

• Submit false, misleading, or fraudulent information, or information about a person who has not authorized you to act on their behalf;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or any related systems or networks;
• Use any robot, scraper, crawler, or automated means to access, collect, or copy data from the Services, except for public search-engine indexing;
• Upload or transmit any viruses, malware, or other malicious code;
• Violate any applicable law or regulation, or infringe the rights of any third party.

8. Intellectual Property

The Services and all content made available through them — including text, graphics, logos, icons, images, audio, video, software, and the "homeapedia" name and mark — are owned by homeapedia or its licensors and are protected by United States and international copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. All rights not expressly granted are reserved.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. homeapedia does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information provided through the Services is accurate, complete, or reliable.

Without limiting the foregoing, homeapedia makes no representations or warranties regarding any Partner Pro, including their licensing, insurance, skill, quality, pricing, availability, or performance, and disclaims all liability for the acts, omissions, products, and services of any Partner Pro.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall homeapedia, its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, your interactions with any Partner Pro, or these Terms, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if homeapedia has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, homeapedia's total aggregate liability to you for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount, if any, you paid homeapedia in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless homeapedia and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any dispute between you and any Partner Pro.

12. Governing Law, Arbitration & Class Waiver

Governing law & venue

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, you and homeapedia agree that the exclusive jurisdiction and venue for any action not subject to arbitration shall be the state and federal courts located in Washoe County, Nevada, and each party consents to personal jurisdiction there.

Binding arbitration

Except for (a) claims for injunctive or other equitable relief arising out of intellectual-property infringement and (b) small-claims-court matters, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in Reno, Nevada, or, at your election, by telephone or videoconference, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class-action waiver

You and homeapedia agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and homeapedia agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Your right to opt out of arbitration

You may opt out of the arbitration and class-waiver provisions of this Section 12 by sending a written opt-out notice to legal@homeapedia.com within thirty (30) days after you first accept these Terms. The notice must include your full name, mailing address, email address, and the phone number you provided to the Services, and must clearly state your intention to opt out of arbitration. Opting out does not affect any other provision of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 5, 8, 9, 10, 11, 12, 15, and 16) will continue in effect.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

15. Miscellaneous

Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between you and homeapedia regarding the Services and supersede any prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.

Force majeure. We are not liable for any delay or failure in performance caused by events beyond our reasonable control.
